Service Agreement for Mastering Post-Production Sound: Inner Circle (A Straight Ahead Sound, Inc. product)

This Service Agreement (the "Agreement") is made between Joel D. Catalan, doing business as Straight Ahead Sound, Inc. (referred to as the "Coach"), and the individual or entity purchasing the group coaching services (referred to as the "Client").

Services Provided

The Coach agrees to provide personalized group coaching services to the Client, tailored to their specific needs and goals in navigating the post-production sound industry. Details of the coaching services, including session frequency and focus areas, will be discussed and agreed upon between the Coach and the Client.

Payment Terms

The early founders yearly rate for the group coaching program is $790 USD. This fee will be renewed annually on the date of purchase.

Coaching Schedule

Group coaching times will be announced via the Inner Circle Community Meetup form. Emails will also be sent to inform members of the monthly schedule. Punctuality and active participation are crucial for maximizing the benefits of the coaching relationship.

Confidentiality

The Coach assures the Client that all conversations and information shared during coaching sessions will be treated with the utmost confidentiality. Both parties agree to maintain strict confidentiality, except as required by law.

Duration of Coaching

The group coaching program is ongoing and operates on an annual basis. The Client will have access to coaching sessions as long as they remain part of the annually paid program. The Client can cancel their membership at any time. If the Client cancels after the first of the year, they will be charged for the current year but not the following year.

Ownership of Materials

All coaching materials, resources, or proprietary content provided by the Coach remain the intellectual property of the Coach. The Client agrees not to reproduce, distribute, or modify any materials without prior written consent.

No Guarantee Disclaimer

The Coach provides their best efforts but does not guarantee specific outcomes or results from the coaching services. No specific level of success, financial gain, or achievement of goals is guaranteed.

Recording Consent

The Client consents to the recording of coaching sessions for their access and review. Recordings will be kept confidential and not shared with third parties without prior written consent, except as required by law.

Testimonial Consent

The Client may be asked for feedback and testimonials. They are under no obligation to provide them and should not feel pressured. If the Client agrees, they grant permission for the Coach to use their feedback and testimonials for promotional purposes.

Termination and Cancellation

The Client may cancel their membership at any time. If they cancel after the first of the year, they will be charged for that year but not the next. The Coach reserves the right to terminate the Agreement if the Client violates any terms or engages in harmful behavior. In such cases, the Client is responsible for any outstanding fees.

New clients are offered a 30-day money-back guarantee. If not satisfied, the Client may request a full refund by notifying the Coach in writing within 30 days of the initial payment.

Governance and Jurisdiction

This Agreement is governed by the laws of the State of California. Any legal action shall be brought exclusively in the courts located in Los Angeles County, California.

Entire Agreement

This Agreement constitutes the entire understanding between the Coach and the Client, superseding any prior discussions or agreements.

Modification

Modifications to this Agreement must be made in writing and signed by both parties.

Severability

If any provision of this Agreement is found to be invalid, the remaining provisions shall remain in effect.

Waiver

Failure to enforce any provision of this Agreement shall not be deemed a waiver of the right to enforce it later.
